End User License Agreement

This End User License Agreement ("Agreement") is entered into between 3K Technologies, LLC ("3K," "we," "us," or "our") and the entity or individual accepting these terms ("Customer," "you," or "your") governing your access to and use of the 3KT Customer Service application (the "Service"), including any related documentation, updates, and integrations made available through IBM watsonx.

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not access or use the Service.

1. License grant

Subject to your compliance with this Agreement, 3K grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the applicable subscription term.

2. Restrictions

You may not: (a) reverse engineer, decompile, or disassemble the Service; (b) sublicense, resell, rent, or lease the Service to any third party; (c) use the Service to build a competing product; (d) remove or alter any proprietary notices; or (e) use the Service in violation of applicable law.

3. Customer data

You retain all rights to data you submit to the Service ("Customer Data"). You grant 3K a license to process Customer Data solely to provide, maintain, and improve the Service. 3K will not use Customer Data to train models shared with other customers without your written consent.

4. Intellectual property

3K retains all right, title, and interest in and to the Service, including all underlying software, models, and documentation. Nothing in this Agreement transfers ownership of any 3K intellectual property to Customer.

5. Support and availability

Support terms are described at 3kglobal.ai/ibm-watsonx/support. 3K will use commercially reasonable efforts to maintain Service availability but does not guarantee uninterrupted access.

6. Fees

Fees for the Service are as set forth in the applicable order form or IBM watsonx marketplace listing. Fees are non-refundable except as required by law or expressly stated in an order form.

7. Term and termination

This Agreement remains in effect for the duration of your subscription. Either party may terminate for the other party's uncured material breach upon 30 days' written notice. Upon termination, your license to use the Service ends immediately, and 3K will make Customer Data available for export for 30 days thereafter.

8. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3K'S TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

10. Governing law

This Agreement is governed by the laws of [state/jurisdiction — to confirm], without regard to conflict of law principles.
